About the role

  • Support the Group Company Secretary to roll out a Corporate Governance Framework for the Wealth Division and maintain governance policies and procedures
  • Provide Company Secretarial Support for subsidiary legal entity rationalisation projects (including new company formations and liquidations)
  • Provide comprehensive board and committee support including scheduling meetings, preparing agendas and meeting materials, and facilitating communication
  • Manage company secretarial matters including maintaining statutory registers and filing statutory returns with Companies House
  • Monitor regulatory developments and assist to ensure compliance with relevant financial services regulations (including FCA rules)
  • Assist with risk identification, assessment and mitigation and ensuring appropriate controls are in place
  • Serve as a point of contact for boards, shareholders, regulators and external stakeholders on company secretarial matters
  • Help develop and implement corporate policies and procedures related to governance, ethics, and compliance
  • Coordinate board evaluations and support director training and development initiatives
  • Provide legal support and advice on corporate governance and company law matters
  • Conduct research, gather information and update company secretarial administrative tools for the Wealth Division
  • Carry out other duties as required; role will require extensive minute-taking

Requirements

  • Comfortable with extensive minute-taking
  • Highly developed interpersonal and communications skills, both oral and written, adaptable style and skilful in liaising with internal and external parties
  • Strong attention to detail, accuracy and excellent organisation skills
  • Strong computer literacy and IT skills with high level of proficiency with MS Office suite, notably Word, Excel and PowerPoint
  • Knowledge of company secretarial administrative tools, preferably Diligent for Boards and Diligent Entities
  • Adaptable and collaborative with team members and other internal senior stakeholders and individuals within the Group
  • Ability to work to deadlines and can prioritise complex and competing demands and remain calm under pressure
  • Unquestionable commitment to maintaining confidentiality
  • Open to learning and taking direction to develop experience and skills
