About the role

  • Responsible for the contract execution process from receipt of the contract request through supplier signature
  • Review, draft, manage and negotiate a wide variety of international contracts, including IT-related contracts
  • Interface with internal and external business partners for contract activities
  • Draft and negotiate a wide range of commercial contracts
  • Work closely with the client’s in-house legal departments on international deals, bids, procurement, marketing, professional services, media, technology and consumer matters
  • Active caseload management
  • Adhere to all Factor delivery processes and commitments
  • Input and manage data on Factor and client systems and keep them up to date
  • Help develop contract templates, playbooks and other tools for use by the team
  • Contribute to continual improvement of service delivery and adding value to the client

Requirements

  • You are adaptable, authentic, accountable, and values-driven; team player with personal leadership
  • Experience in drafting and negotiating IT Contracts (strong asset)
  • Command of different contract types: MSA/MPA covering SAAS, IT services, Managed Services, IT Hardware, Off the shelf software, POC, BAA, Licensing Agreement, Membership Agreement
  • Good knowledge of data privacy; experience drafting DPAs, knowledge of SCCs and UK data privacy laws, US privacy laws, HIPAA
  • Experience negotiating clauses: termination, liability, warranty, indemnification, privacy, security, rights and ownership, confidentiality
  • Ability to work independently on contract negotiations, redlines and reviews
  • Good collaboration with business owners, procurement delivery managers, IT security specialists and Data Privacy lawyers or GPO
  • Law degree
  • Fluency in English
  • Strong teamwork, relationship management, interpersonal, communication and problem solving skills
  • Ability to manage various tasks/projects simultaneously and to work independently
  • Solid understanding of contractual terms with excellent organisational skills and attention to detail
  • Flexible approach
  • Good working knowledge of Microsoft Office suite
