About the role

  • Associate Attorney in investment banking and capital markets, providing legal advice and managing legal documentation. Collaborating with firm attorneys and participating in various committees.

Responsibilities

  • Provide legal advice on corporate, securities, and M&A matters
  • Draft, review, and negotiate engagement letters, non-disclosure agreements, and transaction documents
  • Participate in firm committees such as commitment and M&A committees
  • Monitor relevant regulatory and legislative changes
  • Work with internal clients on special projects as requested
  • Manage outside counsel and legal expenses
  • Assist with third-party matters and ancillary litigation

Requirements

  • Self-motivated, detail-oriented problem-solver
  • Excellent organizational, interpersonal, and oral and written communication skills
  • Relevant experience in securities and M&A transactions
  • Ability to work well both in a team and independently
  • Willingness to work overtime as needed
  • Licensed in New York or Minnesota (as applicable)
  • Large law firm or investment bank experience is preferred
  • 2-4 years of experience generally preferred
