About the role

  • Company Secretary managing Irish SPVs and funds for Ogier Global. Handling regulatory filings and client relationships in a professional environment.

Responsibilities

  • Manage a portfolio of Irish companies and regulated funds, ensuring the accurate preparation and issuance of meeting agendas, board papers, and minutes
  • Build and maintain strong relationships with clients, non-executive directors, and stakeholders across our fund portfolio
  • Follow up on actions arising from board meetings and provide regular updates to clients
  • Review and draft corporate documents, procedures, and policies in accordance with latest legal developments
  • Serve as a primary communication channel for directors, clients, and stakeholders.
  • Ensure compliance with company Articles of Association/Constitution and applicable regulatory frameworks
  • Prepare and submit regulatory filings, including ICAV registration forms within prescribed deadlines
  • Liaise with regulatory authorities regarding board composition and other statutory changes
  • Maintain accurate and up-to-date client files and statutory registers
  • Oversee the onboarding process for new clients, including periodic KYC reviews and coordination with compliance for due diligence requirements
  • Act as a liaison between clients and the compliance department for due diligence and onboarding matters
  • Assist with client billing and monitoring of service delivery
  • Perform other related administrative and company secretarial duties as required

Requirements

  • 1–3 years of post-qualification experience in a Company Secretarial role, ideally dealing with Irish SPVs; experience in fund structures is an advantage
  • Strong academic credentials; Bachelor’s degree or equivalent preferred. Progress toward or attainment of a professional qualification (e.g., ICSA) is advantageous
  • Excellent written and verbal communication skills
  • Proficient in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint)
  • Solid understanding of applicable statutory laws, regulatory requirements (including anti-money laundering regulations), and best practices in corporate governance
  • Experience in maintaining statutory registers and corporate files, and a strong understanding of KYC procedures and periodic reviews
  • Highly responsive, client-focused, and able to manage tasks independently using own initiative
  • Exceptional organisational and time management skills; keen attention to detail
