About the role

  • Global Stock Plan Administrator responsible for managing equity programs at Planet. Collaborating with internal departments and ensuring compliance with stock-based compensation regulations.

Responsibilities

  • Partner with our external record-keeper and consultants to execute employee equity transactions, ensuring accurate and timely record keeping
  • Work with legal counsel to ensure timely creation of new grant agreements and necessary updates to existing grant agreements for equity plan changes as well as pertinent regulatory changes
  • Ensure compliance with all stock-based compensation reporting requirements, including Section 16, Proxy, and forms 10-K/Q, including drafting and filing of all Forms 3, 4 and 5 for corporate officers and directors
  • Assist with stock-based compensation accounting, reporting and analysis; Generate recurring reports for multiple internal and external corporate partners (HR, Payroll, Finance, Accounting, Tax, etc.), and respond to both routine and ad-hoc data requests on a timely basis.
  • Ensure compliance with all domestic and international laws for income and tax withholdings for stock options, RSUs and other equity grants and ensure accurate reporting on W-2s or other forms of participant tax reporting
  • Assist in managing the insider trading compliance program, including managing the stock trading windows, as well as the pre-clearance process and personnel
  • Partner with our external transfer agent to settle transactions and maintain share reserves
  • Manage the processing of grants, stock option exercises, restricted stock releases, terminations and other transactions
  • Support the preparation of the annual proxy statement
  • Provide excellent customer service to equity participants at all levels and to partners across departments
  • Support the HR compensation team during the annual compensation planning process
  • Assist in the preparation and maintenance of board and committee meeting materials
  • Drive process improvements and scale the equity administration function
  • Maintain internal control environment in accordance with Sarbanes-Oxley (SOX) requirements
  • Prepare monthly and quarterly employee equity transaction reconciliations
  • Enhance the onboarding program for equity programs and participate in the onboarding process for new hires to ensure they are clear on the process
  • Provide regular training and education to participants in our stock plan
  • Assist with internal and external audit activities relating to employee equity matters
  • Perform other duties and ad hoc projects as requested

Requirements

  • 6+ years of relevant experience with stock plan administration
  • Bachelor's degree required, preferably in Business, Accounting/Finance, or a related field
  • Achieved a Level III Certified Equity Professional (CEP) certification
  • Experience with Morgan Stanley E*Trade's Equity Edge Online (EEO) platform and Morgan Stanley
  • Experience working independently and effectively with a range of individuals.
  • Ability to maintain strict confidentiality of materials and information
  • Able to multitask, prioritize, and work under tight deadlines
  • Excellent analytical skills, accuracy and attention to details required
  • Proficient in Excel
  • Proficient in the G-suite; Google collaboration tools
  • Adept at creating insightful reports and dashboards using PivotTables and conditional formatting.
