About the role

  • Corporate Counsel overseeing corporate governance and M&A activities for global technology company. Collaborating with executives and managing international subsidiary governance.

Responsibilities

  • Own and manage the full range of corporate governance activities
  • Serve as a director, officer, or legal representative for multiple international subsidiaries
  • Own legal entity governance for Omnissa’s global subsidiary structure
  • Support strategic transactions
  • Own and manage third‑party corporate diligence and information requests
  • Lead the design, documentation, and continuous improvement of corporate governance processes
  • Support executive leadership with special projects
  • Contribute to legal team operational improvements

Requirements

  • At least 7 years of corporate legal experience
  • At least 4 years of in‑house experience at a technology company or equivalent senior‑level corporate and transactional experience
  • Strong experience in corporate governance and M&A
  • Experience managing a large portfolio of international subsidiaries
  • Experience supporting international expansion
  • Working familiarity with corporate tax structures and operating models
  • Ability to operate autonomously on sophisticated matters
  • Excellent drafting, organizational, and communication skills
