About the role

  • SVP Corporate and Securities Counsel overseeing compliance and governance at RGA, a global reinsurance leader. Provides legal support for transactions and leads governance practices for public company.

Responsibilities

  • Lead legal strategy for U.S. and international securities law compliance for a publicly traded enterprise.
  • Oversee preparation, review, and governance of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
  • Advise on disclosure controls and procedures and ensure consistency across public disclosures.
  • Oversee legal review of earnings releases, investor presentations, and external communications.
  • Provide senior legal support for complex corporate and capital markets transactions, including equity and debt offerings.
  • Advise on governance best practices, fiduciary duties, and public company obligations.

Requirements

  • Law degree from an accredited law school
  • Active license to practice law in at least one U.S. state; member in good standing
  • 15+ years of experience in corporate and securities law
  • Background in top-tier law firm with corporate or capital markets practice and senior in-house legal roles
  • Experience advising Boards, senior executives, and compensation committees
  • Experience in insurance, reinsurance, or financial services are strongly preferred.
