About the role
- Legal professional focused on contract management for Tenda, a construction company in Brazil, ensuring legal compliance and risk mitigation.
Responsibilities
- Review and negotiate contracts of medium complexity, ensuring inclusion of the mandatory clauses defined by the company and compliance with the essential requirements for the validity of the legal transaction, particularly for typical contracts, in order to protect the company’s interests and rights.
- Draft contracts of medium complexity based on standard templates and necessary adaptations to the specific case, ensuring adherence to internal guidelines, legal compliance, and risk mitigation.
- Prepare out-of-court notices of medium to high complexity addressed to suppliers, observing applicable legal formalities and ensuring protection of the company’s rights and interests.
- Analyze and respond to received out-of-court notices, assessing risks and proposing strategies for the company’s appropriate extrajudicial defense.
- Manage and monitor matters forwarded to external law firms, tracking deadlines, evaluating the technical quality of deliverables, and reviewing prepared documents to ensure compliance with internal guidelines.
- Control payments related to legal services, ensuring correct allocation of expenses to the respective cost centers and accounting accounts, and contributing to the achievement of budgetary targets.
- Identify legal risks in contract drafts and supplier relationships, proposing mitigation measures and advising internal departments on contractual best practices.
- Support the management of the company’s intellectual property assets, especially by monitoring trademark registration, maintenance and protection processes with the Brazilian National Institute of Industrial Property (INPI), tracking deadlines, and interfacing with specialized firms.
Requirements
- Bachelor's degree in Law with active registration in the Brazilian Bar Association (OAB).
- Prior experience in a legal role, preferably in a corporate environment, is a plus.
- Experience drafting, reviewing and negotiating contracts of various types.
- Knowledge of contract management and legal risk identification.
- Intermediate knowledge of Microsoft Office.
- Intermediate or advanced English will be considered a plus.
- Postgraduate degree or specialization in Contract Law, Corporate Law, Civil Law or related areas will be considered a plus.
- Knowledge of intellectual property topics (especially trademarks) will be considered a plus.
