About the role

Responsibilities
- Analyze contract risks for clients, identifying key issues, legal and commercial risks, and weaknesses
- Provide legal support to the company’s commercial team
- Review contract drafts and amendments prepared by clients
- Draft contracts and amendments (software services, SaaS, maintenance, etc.)
- Prepare legal opinions related to contracts with public and private clients
- Draft extrajudicial notices and counter-notices related to contracts with public and private clients
- Participate in meetings with internal stakeholders and clients to defend contractual clauses
- Support internal stakeholders in responses to due diligence and compliance questionnaires
- Prepare corporate documents such as shareholders’ meeting minutes, board/assembly minutes, amendments to articles of association, and other corporate acts for limited liability companies and closely held corporations.
Requirements
- Law degree
- Minimum 3 to 5 years of experience in contract law, preferably in technology or innovation companies
- Deep knowledge of commercial law, intellectual property and regulatory compliance (LGPD, GDPR)
- Experience with software licensing agreements, SaaS contracts and commercial partnership agreements
- Strong negotiation and dispute resolution skills
- Excellent verbal and written communication, with the ability to work in a dynamic, collaborative environment
- Advanced or fluent English (essential for international contracts)
- Differentials:
