Responsibilities
- Draft, negotiate, and close complex enterprise software agreements including SaaS contracts, licensing agreements, MSAs, SOWs, and professional services agreements
- Partner with Sales, Product, and Finance teams to structure deals that balance business objectives with legal risk
- Review and approve quotes, proposals, and contract terms under established approval matrices
- Advise on global privacy and data protection requirements including GDPR, CCPA, and industry-specific regulations
- Collaborate with IT and Security teams on information security policies, incident response protocols, and vendor risk management
- Provide day-to-day legal guidance to business leaders on commercial matters, risk management, and compliance
- Develop and maintain contract templates, playbooks, and approval processes
Requirements
- JD from an accredited law school and active bar membership in good standing
- 6+ years of commercial legal experience, with at least 3 years focused on enterprise software or SaaS businesses
- Deep expertise in privacy and security law, including hands-on experience with GDPR, CCPA, and similar frameworks
- Proven track record negotiating high-value, complex enterprise agreements in a fast-paced environment
- Strong business acumen with ability to balance legal risk against commercial objectives
- Experience advising on security compliance frameworks (SOC 2, ISO 27001, FedRAMP, etc.)
