Company Secretary for Teleport ensuring governance compliance across Southeast Asia and supporting Board dynamics. Leading governance frameworks and spearheading IPO readiness initiatives for a fast-growing logistics firm.
Responsibilities
Serve as the primary Company Secretary to Teleport’s Board and Board Committees across Singapore, Malaysia and other Teleport entities, ensuring effective functioning, governance discipline, and compliance with applicable regulatory and fiduciary requirements.
Manage all aspects of Board and Committee meetings, including preparation, drafting and review of Board papers, agendas, resolutions, minutes, and follow-up actions, ensuring clarity, completeness, and alignment with governance best practices. Expected to have extensive experience in drafting and preparing Board resolutions in response to requests from various stakeholders.
Act as a trusted advisor to the Board, Chairman, the First Team, General Counsel, and senior management on governance processes, Board procedures, director obligations, and regulatory requirements.
Exercise sound judgment and emotional intelligence in managing Board dynamics, sensitive discussions, and senior stakeholders, ensuring professionalism, discretion, and effective communication at all times.
Lead and maintain governance frameworks aligned with Singapore and Malaysia regulatory requirements, including Companies Act compliance, SGX/ HKEX readiness standards, and public company governance expectations.
Support IPO readiness initiatives, including governance restructuring, Board and Committee framework design, corporate record maintenance, and regulatory submissions.
Ensure proper maintenance of statutory registers, corporate records, Board resolutions, and governance documentation across multiple jurisdictions.
Support corporate structuring, director appointments and resignations, shareholder resolutions, and corporate actions.
Partner closely with the CEO, CFO, General Counsel, and senior leadership team to ensure governance considerations are properly integrated into strategic decisions.
Act as a governance gatekeeper and escalation point, ensuring that appropriate approvals, processes, and governance standards are consistently applied.
Engage effectively with senior stakeholders, Board members, investors, regulators, and external advisors, demonstrating professionalism, credibility, and discretion.
Navigate complex stakeholder dynamics with maturity, emotional intelligence, and sound judgment.
Ensure full compliance with statutory and regulatory requirements across Singapore Malaysia, and other jurisdictions including filings with ACRA, Companies Commission of Malaysia (SSM), and other regulatory authorities.
Manage corporate secretarial filings, annual returns, statutory disclosures, and corporate records across group entities.
Monitor and advise on governance, regulatory, and compliance developments affecting the company.
Support audits, due diligence exercises, and investor or regulatory reviews as required.
Establish and continuously improve governance policies, Board processes, and corporate secretarial practices aligned with global best practices.
Drive governance discipline, clarity, and operational excellence across the organisation.
Build scalable governance infrastructure to support Teleport’s continued growth and public company readiness.
Requirements
Minimum 15 years of relevant experience as a Company Secretary or governance professional, preferably within public companies, listed companies, multinational corporations, or high-growth organisations.
Professionally qualified Company Secretary in Singapore and Malaysia, including:
Member of the Chartered Governance Institute of Singapore (CGIS) – ACG or FCG designation; and
Member of MAICSA / Chartered Governance Institute (Malaysia Division) – ACG or FCG designation
A law degree (LLB or equivalent) is strongly preferred.
Strong experience supporting Boards of Directors and Board Committees, including direct interaction with Chairpersons, Independent Directors, and senior executives.
Demonstrated experience supporting IPO readiness, public company governance, or complex multi-jurisdictional corporate structures is highly desirable.
Deep understanding of corporate governance, Companies Act requirements, director fiduciary duties, and regulatory frameworks in Singapore and Malaysia.
Exceptional emotional intelligence (EQ) and maturity, with the ability to manage senior stakeholders, Board dynamics, and sensitive governance matters with professionalism and discretion.
Strong executive presence and ability to communicate effectively and confidently with Board members and senior leadership.
