About the role

  • Provide legal advice and counsel on corporate matters
  • Manage the company's administrative and corporate governance operations to ensure compliance with legal and regulatory requirements
  • Support the internal company board of directors
  • Organize and manage board and committee meetings, including scheduling, agenda preparation, and distribution of materials
  • Maintain corporate records, including board meeting minutes, shareholder information, and legal documents
  • Draft corporate governance documents, policies, and procedures
  • Amend charter documents, document internal corporate reorganizations, and implement corporate projects
  • Assist with board committee structure, composition, and charters
  • Ensure the company complies with all relevant laws and regulations, including corporate governance requirements
  • Provide guidance to internal boards and management on matters of corporate governance and ethics
  • Manage the governance of the company's subsidiaries
  • Create, draft, administer, and review systems of rules, policies, controls, and resolutions to ensure business processes comply with internal policies, procedures, laws, and other regulations
  • Conduct legal research regarding state and federal insurance laws and regulations
  • Engage in risk assessment and problem solving daily
  • Draft and review agreements for arrangements with producers and third parties

Requirements

  • Law degree from an accredited law school
  • Must be admitted to and a member in good standing of the bar of any US jurisdiction
  • Minimum of 10 years of legal and corporate experience with a company, law firm or insurance broker/corporation
  • Demonstrate an understanding of the corporate and (insurance) regulatory environment
  • Experience interfacing effectively with all levels of management and with both internal and external constituents
  • Strong written and oral communication skills
  • Highly organized, analytical, and detail oriented
  • Ability to manage multiple projects in a dynamic developing environment
  • Common sense, good judgment, inquisitive and solution-oriented attitude toward legal issues
  • Corporate governance experience (desired)
  • Insurance industry experience a plus
  • In-house experience preferred
