About the role
- Lawyer with extensive experience in corporate matters for public companies, with hands-on knowledge of day-to-day corporate matters, including participation in general shareholders' meetings, board meetings, preparation and approval of disclosure materials, and handling various inquiries regarding corporate law and CVM (Brazilian Securities Commission) regulations;
- Participation in projects involving corporate reorganizations and various corporate transactions, including M&A;
- Advise the company's governance bodies, including statutory governing bodies;
- Support the Investor Relations area on a wide range of topics related to compliance with CVM and B3 rules, including responses to official inquiries, material fact disclosures, market communications, the Reference Form (Formulário de Referência), Governance Report, etc.;
- Draft, negotiate and review corporate documents, share/quotas and asset purchase and sale agreements, shareholders' agreements, and debt issuance documents for the capital markets;
- Provide legal opinions and consultations related to Corporate Law and Capital Markets.
Requirements
- Law degree with active OAB (Brazilian Bar Association) registration;
- Specialization in Corporate Law or Business Law (postgraduate specialization preferred);
- Proven experience with the legislation and regulations of public company regulatory bodies (e.g., CVM, B3);
- 5 to 10 years of relevant experience;
- Advanced English with written and verbal communication skills (preferred).
