Develop, implement, and manage a global compliance program aligned with legal, regulatory, and ethical standards
Monitor compliance with GDPR, CCPA, FCPA, anti-bribery and anti-corruption laws, trade compliance, and other global standards
Conduct regular compliance risk assessments and implement mitigation strategies
Oversee compliance audits and ensure corrective actions are implemented
Establish and maintain corporate governance policies and practices, including board governance and regulatory filings
Prepare and manage board and committee meetings, agendas, minutes, and resolutions
Ensure compliance with corporate governance frameworks, including SOX where applicable
Develop and deliver global training programs to promote compliance and governance awareness
Draft, review, and update corporate policies and procedures and communicate changes across business units
Serve as a trusted advisor to senior leaders and the Board on compliance and governance issues
Collaborate with Legal, Finance, HR, IT, and Operations to align governance and compliance efforts
Investigate and resolve compliance incidents and prepare periodic compliance reports for senior management and the Board
Promote and enforce information security practices, assess security risks, and ensure data protection compliance
Requirements
Bachelor’s degree in Law, Business Administration, or a related field (advanced degree preferred)
Minimum of 10 years of experience in compliance, corporate governance, or legal advisory roles
At least 5 years in a leadership capacity
Experience in a global or multinational organization, preferably in the technology services industry
Strong knowledge of global compliance frameworks and corporate governance best practices
Expertise in regulatory requirements including data protection laws (GDPR, CCPA), FCPA, anti-bribery and anti-corruption laws, trade compliance, and corporate disclosure obligations
Knowledge of Sarbanes-Oxley (SOX) requirements where applicable
Certified Compliance and Ethics Professional (CCEP), Governance, Risk, and Compliance (GRC) certification, or equivalent preferred
Excellent leadership, problem-solving, analytical, interpersonal, and communication skills
Experience preparing board materials and managing board/committee meetings
