About the role

• Legal & Compliance Specialist at LWSA responsible for complex corporate law operations. Involves governance analyses and legal support for strategic business decisions.

Responsibilities

• Lead and structure complex corporate transactions, including corporate reorganizations;
• Draft and review corporate documents and governance instruments;
• Organize and conduct general shareholders' meetings and corporate meetings;
• Ensure compliance with regulatory obligations of public/listed companies;
• Legally structure and monitor long-term incentive plans;
• Provide legal support in drafting, reviewing, and validating documents and market communications;
• Provide advisory support to the Company's internal departments;
• Manage and coordinate paralegal teams;
• Liaise with commercial registries, notary offices, and relevant authorities;
• Identify, analyze, and mitigate corporate risks.

Requirements

• Law degree with active OAB (Brazilian Bar Association) registration;
• Extensive experience with publicly traded (listed) companies;
• Experience drafting and reviewing corporate documents and related materials;
• Proficiency with Google Workspace and Microsoft Office suite;
• Strong organizational skills, critical thinking, attention to detail, and excellent interpersonal skills;
• Postgraduate degree in Corporate Law or Corporate Governance (preferred);
• Experience in an in-house legal department at a technology company (preferred);
• English and Spanish language skills (preferred).
