About the role

  • Analista Jurídico Pleno handling corporate and litigation law while ensuring compliance and fostering efficiency with legal tech. Engaging with legal teams and stakeholders in strategic decision-making.

Responsibilities

  • Draft, review and control corporate acts, such as minutes of shareholders’ meetings and partner/board meetings, amendments to articles of association/bylaws, shareholders’/quotaholders’ agreements, quota assignment agreements and transfers of equity interests, working with M&A (mergers and acquisitions), reorganizations and due diligence processes.
  • Act as the technical interface with external law firms, overseeing litigation and advisory matters in the Tax, Labor and Civil areas.
  • Validate legal theses, deadlines and litigation strategies presented by partner firms, ensuring technical quality and the protection of the company’s interests.
  • Analyze legal risks of outsourced portfolios, prepare contingency reports and technical opinions to support the board’s decision-making.
  • Monitor applicable laws and regulations that impact the corporate structure or the company’s legal obligations.
  • Draft notifications, counter-notifications and other documents related to the company’s legal and contractual procedures.

Requirements

  • Law degree with active Bar registration (OAB).
  • 3 to 5 years of experience in Corporate Law, with strong command of corporate acts.
  • Strong communication skills and strategic legal analysis capability.
  • Practical knowledge of Artificial Intelligence tools applied to legal practice (legal techs, contract automation, AI-assisted analysis, organization of legal databases).
  • Experience managing external law firms, with the ability to critically evaluate deliverables from third-party firms in civil, labor and tax areas.
  • Postgraduate degree or specialization in Corporate Law or Business Law.
  • Previous experience as in-house counsel in corporate legal departments.
  • Experience in legal audits and corporate reorganizations.
  • Fluent in English.
