About the role

  • General Counsel centralizing contract review and compliance for ANM IT consulting firm. Leading legal advisory on contracts and ensuring regulatory compliance across operations.

Responsibilities

  • Centralize the contract review process for the ANM operation.
  • Develop, draft, review approve legal terms and conditions, and negotiate wide variety of agreements: Managed Services Agreements (MSA), State and Education Customer contracts (SLED), employment contracts, non competes, non-disclosure and statement of work
  • Review of contracts: BroadSoft and FCC Compliance
  • Analyze contract terms to ensure compliance with applicable federal, state, and local laws and regulations, industry best practices and company policies
  • Support and advise contract negotiations with account teams, clients and outside counsel where appropriate
  • Advise internal business line and administrative support terms on contract matters, including structuring, negotiation, interpretation, compliance and enforcement, risk assessment, legal and regulatory compliance, and consistency with business/operational requirements
  • Anticipate internal and external business challenges and provide creative problem-solving solutions to analyze legal and commercial risks while supporting corporate strategy and goals
  • Ensure ANM is properly registered as employer in each state for payroll and other business purposes and manage renewal of business insurances (liability, workers comp, etc.)
  • Maintain a current working knowledge of new laws, case law trends with respect to contracts and regulatory developments
  • Provide training to the company on emerging relevant legal topics

Requirements

  • Law degree with strong academic credentials from an ABA accredited institution
  • Minimum of 7+ years of relevant attorney background in contract law, specifically in drafting and negotiating contracts, either in-house or law firm
  • Good sense of judgement and practical business mind to balance competing legal and business considerations to advise on practical solution focused and business-oriented results
  • Strong organizational and time management skills with an ability to prioritize and handle multiple tasks while responding to competing deadlines
  • Demonstrate strong legal research and written and verbal communication skills, as well as success at working independently and as a collaborative team member with business teams, technology teams and human resources
  • High level of professionalism, integrity and confidentiality
  • Must have a valid driver’s license and motor vehicle insurance.
