About the role

  • Corporate Governance Specialist providing strategic support and managing global governance actions at Westinghouse. Leading compliance with corporate governance laws in multiple jurisdictions.

Responsibilities

  • Lead all corporate governance actions for the global enterprise. This includes working with company partners and external counsel.
  • Manage corporate governance policies and procedures.
  • Prepare and maintain corporate records, and preparing and completing corporate filings.
  • Collaborate with Finance, Treasury, Tax, and Global Teams.
  • Project oversight and management of all corporate governance matters, databases, and projects.
  • Prepare agendas and materials for all Board and Committee meetings.
  • Track Board and Committee meeting attendance and prepare/maintain corresponding minute books.
  • Ensure compliance with corporate governance best practices.
  • Coordinate director and officer signatures and company seal requests.
  • Provide support and analysis as directed by the Corporate Secretary and Chief Legal Officer.
  • Respond to different requests for corporate governance information.

Requirements

  • Bachelor's degree or equivalent experience
  • 5+ years leading corporate governance
  • Paralegal certification (such as CRP® or RP®) preferred
  • Notary commission preferred (or willingness to obtain)
  • Knowledge of substantive areas of law related to corporate governance
