About the role

  • Legal Director at Prosus Group leading corporate secretarial team in Amsterdam. Focusing on corporate housekeeping, investment support, and legal operations efficiency.

Responsibilities

  • Lead, coach and support the Amsterdam corporate secretarial team consisting of 2 senior paralegals who are taking care of corporate housekeeping, regulatory filings / license applications, governance and investment support matters for the group.
  • Ensure statutory compliance of group entities (corporate housekeeping), good governance processes & up-to-date (automated) corporate documentation.
  • Coordinate and support group regulatory filings, license applications & KYC processes.
  • Provide expert legal support on banking and financing arrangements (including potential capital market transactions, credit facilities), and other agreements.
  • Drive quarterly and semi-annual board reporting processes (e.g. litigation reporting).
  • Support the Head of Group Legal on a broad range of legal and managerial matters (e.g. driving process improvements, new systems and operational efficiency across the team, interim management, etc.).
  • Work closely with other colleagues in the team, Tax, Finance and Treasury as well as outside counsel.

Requirements

  • Exceptional leadership & team management capabilities.
  • Extensive experience in managing transactions and stakeholders, comfortable dealing with senior management / executives.
  • Legal business partner with ability to build strong working relationships with internal and external stakeholders.
  • Legal tech & AI-savvy and a drive for efficiency.
  • Excellent legal drafting & communication skills in Dutch and English and the ability to translate technical legal matters into simple language.
  • Open-minded, flexible and willing to work on a broad range of legal and administrative matters.
  • Cultural sensitivity and ability to work across diverse markets.
  • Bachelor's and Master's degrees in Dutch law with minimum of 15 years PQE, gained as lawyer in a top tier law firm as well as in-house in an international corporate environment.
  • Proven track record in (debt) capital markets/ regulatory / banking & finance matters and good knowledge of Dutch corporate law (book 2 Dutch Civil Code).
  • Leadership experience in in-house corporate environment or at a law firm, with at least 3 years of proven people management experience.
  • Experience in, and a motivation/ drive to explore, use, test, and lead legal tech and AI projects and streamlining of internal legal processes.
