About the role

  • Senior Corporate Paralegal supporting Perkins Coie's Corporate and Securities practice group. Assisting with high-level corporate transactions and maintaining client confidentiality.

Responsibilities

  • Assist lawyers and clients with high-level corporate and transactional paralegal duties.
  • Draft and file incorporation, formation, amendment, dissolution, and withdrawal documents for Corporations, LLCs, LPs, and LLPs.
  • Conduct and analyze UCC searches; prepare UCC-1 and UCC-3 financing statements.
  • Maintain organized records for corporate entities, including ownership ledgers and state/federal filings.
  • Prepare and distribute corporate documents, certifications, and UCC statements.
  • Draft agreements for securities transfers.
  • Manage closings for financings, mergers, and acquisitions.
  • Conduct corporate diligence reviews and summarize findings.
  • Organize and maintain electronic data sites; manage shareholder mailings and regulatory filings.
  • Train and supervise other paralegals; coordinate workloads.

Requirements

  • 7-10 years of experience as a corporate paralegal with public and privately held companies
  • 4-year degree in a related field or equivalent required; paralegal certificate or degree preferred.
  • Excellent organizational, analytical, and communication skills.
  • Proficient in Section 16 filing platforms, including EDGAR, hCue, and Workiva.
  • Perform 701 Analysis
  • Proficient in Microsoft Office Suite, Adobe Acrobat, and Excel.
  • Fluent in Carta, Shareworks, or other capitalization management platforms.
  • Strong knowledge of California and Delaware corporate law, federal and state securities laws, and private company M&A.
  • Accurate time record-keeping.
  • Ability to take initiative and exercise discretion and independent judgment.
