Responsibilities
Assist lawyers and clients with high-level corporate and transactional paralegal duties.
Draft and file incorporation, formation, amendment, dissolution, and withdrawal documents for Corporations, LLCs, LPs, and LLPs.
Conduct and analyze UCC searches; prepare UCC-1 and UCC-3 financing statements.
Maintain organized records for corporate entities, including ownership ledgers and state/federal filings.
Prepare and distribute corporate documents, certifications, and UCC statements.
Draft agreements for securities transfers.
Manage closings for financings, mergers, and acquisitions.
Conduct corporate diligence reviews and summarize findings.
Organize and maintain electronic data sites; manage shareholder mailings and regulatory filings.
Train and supervise other paralegals; coordinate workloads.
Requirements
7-10 years of experience as a corporate paralegal with public and privately held companies
4-year degree in a related field or equivalent required; paralegal certificate or degree preferred.
Excellent organizational, analytical, and communication skills.
Proficient in Section 16 filing platforms, including EDGAR, hCue, and Workiva.
Perform 701 Analysis
Proficient in Microsoft Office Suite, Adobe Acrobat, and Excel.
Fluent in Carta, Shareworks, or other capitalization management platforms.
Strong knowledge of California and Delaware corporate law, federal and state securities laws, and private company M&A.
Accurate time record-keeping.
Ability to take initiative and exercise discretion and independent judgment.
