About the role

  • Legal professional in a construction company handling real estate and corporate law matters. Supporting project development and ensuring compliance with regulations in a collaborative environment.

Responsibilities

  • Support land acquisition and development processes through comprehensive legal analysis, document review, and risk assessment
  • Draft and review real estate contracts essential to project incorporation and implementation
  • Review partnership agreements, investment instruments, and real estate transactions with owners and investors
  • Liaise with notary offices, municipal authorities, and public agencies for coordination and registration of projects
  • Establish and monitor Special Purpose Entities (SPEs) and other companies linked to the projects
  • Prepare and review shareholders' agreements, investment instruments, and documents defining responsibilities
  • Support corporate reorganizations and special transactions, assessing legal impacts
  • Monitor corporate obligations, ensuring compliance with deadlines and filings
  • Advise on the review, drafting, and negotiation of strategic contractual instruments
  • Produce legal analyses, opinions, and technical memos aligned with risk profiles and compliance guidelines
  • Manage external law firms when necessary
  • Lead the engagement and management of external law firms
  • Participate in meetings with professional associations and institutional forums
  • Support the implementation of contract revisions and internal adjustments

Requirements

  • 8 to 10 years of experience in Real Estate and Corporate Law
  • Law degree with active OAB (Brazilian Bar Association) registration
  • Proven experience in Real Estate and Corporate Law
  • Experience with developers, construction companies, real estate funds, engineering firms, or specialized law firms
  • Strong risk analysis, technical drafting, negotiation skills, and a business-oriented mindset
  • Clear communication, professional demeanor, and ability to work with multidisciplinary teams
  • Postgraduate degree in Real Estate, Business, Corporate Law, or Contracts is a plus
  • Experience with corporate governance and structuring SPEs is a plus
  • Experience in due diligence and complex real estate transactions is a plus
  • Ability to integrate legal analysis with economic, operational, and strategic considerations is a plus
