About the role
- Contracts Manager overseeing end-to-end commercial contracting activities for global supply chain at MKS Inc. Collaborating with various internal teams and ensuring compliance with legal requirements and policies.
Responsibilities
- Drive full lifecycle for services contracts—drafting, redlining, negotiating, approval routing, and execution—across MSAs, SOWs, change orders, renewals, and amendments.
- Develop negotiation strategies leveraging playbooks, market benchmarks, and category strategies; secure optimal commercial terms, SLAs, IP rights, confidentiality, indemnities, and liability caps.
- Maintain and evolve clause libraries, templates, fallback positions, and negotiation playbooks to accelerate cycle time and reduce variance.
- Partner with Legal, Compliance, InfoSec to assess/control third-party risk and ensure all agreements align with internal policies, legal requirements, SOX controls, and data privacy regulations (e.g., GDPR, export controls, HIPAA, etc.)
- Manage contract lifecycle including NDAs, MSAs, SOWs, SLAs, and software license agreements.
- Identify automation and process opportunities; champion standardization and training for stakeholders
Requirements
- Bachelor’s degree in supply chain, Business, Legal studies, or related field
- 5+ years of experience in contract management, strategic sourcing, procurement, or commodity management
- Strong negotiation, contract management, analytical, and project management skills
- Excellent written and verbal communication, attention to detail, and document hygiene/version control
- Exceptional communication and stakeholder management abilities
