About the role
- VP, Sr. Legal Counsel for M&A at Broadridge. Provide strategic legal advice on mergers and acquisitions while leading legal due diligence and coordinating with various teams.
Responsibilities
- Provide strong strategic and transactional legal advice to the Corporate Development team and senior business leaders across the organization on mergers, acquisitions, partnerships, joint ventures and strategic investments, including engagement in proactive issue-spotting, risk assessment and problem-solving
- Draft and negotiate transaction documents, including drafting and negotiating purchase agreements, letters of intent, term sheets, joint venture agreements and related legal documentation
- Coordinate closely with deal teams, clients, outside counsel and subject matter experts to align legal documents with business and legal goals – be the deal team quarterback !
- Lead transaction legal due diligence
- Assist in post-closing integration of acquired entities
Requirements
- J.D. degree and active license to practice law in at least one U.S. jurisdiction.
- 5+ years in the Corporate Group (M&A preferred) in a large law firm, experience with complex deals
- 3+ years in the Broadridge Legal department
- Strong understanding of corporate legal department operations, legal technology, and budget management.
- Demonstrated ability to lead cross-functional initiatives and drive change in a complex organization.
- Business acumen and financial literacy.
