About the role
- Corporate Counsel providing legal guidance in software licensing and compliance at a technology firm. Joining a small legal team to support various corporate legal functions in a hybrid work model.
Responsibilities
- Draft, review and negotiate a wide variety of agreements including international cloud software agreements, master services agreements, sales licensing agreements, amendments, NDAs, Data Processing Agreements and vendor agreements.
- Ensure compliance with security, export control, sanctions and privacy regulations.
- Assist with employee-related/HR matters.
- Assist with pre-litigation claims and litigation matters related to contracts.
- Assist with corporate governance matters for subsidiaries.
- Draft and maintain internal security, export control, sanctions, ESG and privacy policies.
- Assist in M&A acquisitions and post-acquisition integrations.
- Assist with real estate transactions.
Requirements
- Bachelor’s degree, J.D. from an accredited law school and current license to practice law in Massachusetts
- 1-3 years of corporate legal experience in a law firm or in house setting
- Intellectual property coursework or experience a plus
