Responsibilities
Manage deals end-to-end: scoping, timeline, data room, due diligence focused on material risks, and risk allocation matrices.
Legal analysis and structuring of M&A transactions: due diligence, drafting and negotiating agreements (SPA, ATA, board resolutions, shareholder agreements, NDA, LOI, etc.).
Support internal teams: coordinate with Finance, Tax, HR and Strategy departments to secure transactions.
Regulatory and strategic monitoring: track legislative and case-law developments affecting M&A transactions.
Legal risk management: identify, map and assess risks and propose solutions to limit contractual and regulatory exposure.
Coordinate external advisors: lawyers, notaries, auditors — challenge added value and fees.
Ensure strict budget monitoring.
Reporting and documentation: transaction tracking, executive decision notes, trackers, closing sets and knowledge base.
Participate in negotiations: play an active role in discussions with internal and external stakeholders.
Requirements
Master's degree (Master 2) in Business Law, Corporate Law or equivalent.
5–8 years' experience in a law firm or Bar experience complemented by in-house M&A experience.
Excellent command of mergers & acquisitions, corporate law and contract law.
Bilingual legal English: written and spoken.
Strong negotiation and legal drafting skills.
Analytical mindset, rigor, autonomy and solution-oriented approach.
Strong sense of confidentiality and ethics.
Ability to work cross-functionally and in a project-based environment.
