About the role

  • Corporate Governance Sr. Manager/Paralegal supporting the legal team with litigation and corporate governance tasks in Pleasanton, CA. Engaging with executives and preparing legal documents with a hybrid work model.

Responsibilities

  • Manage the process of exchanging information (documents, emails, data) between parties
  • Manage, organize, and review vast amounts of electronic documents using sophisticated software (Relativity, I-Pro)
  • Prepare drafts of discovery requests (Interrogatories, Requests for Production of Documents) and responses for attorney review
  • Draft routine legal documents, such as summonses, complaints, and motions
  • Manage and organize the pleadings file (official court documents)
  • Coordinate and handle court e-filings, ensuring compliance with all court rules and deadlines
  • Prepare for depositions, including organizing exhibits and coordinating logistics
  • Organize and prepare trial exhibits and trial binders
  • Assist attorneys in the courtroom by managing documents and real-time information flow
  • Conduct research on statutes, case law, and regulations relevant to the corporate dispute using databases like Westlaw or LexisNexis
  • Assist in preparation of SEC filings, including Forms 10-K, 10-Q and 8-K, Section 16 Forms and other filings with SEC and NASDAQ
  • Create and maintain corporate minute books for parent company and its US and foreign subsidiaries

Requirements

  • Minimum of 8 years of related work experience
  • Minimum of 5 years experience as a paralegal with a large law firm or corporate law department
  • Associate’s degree or Bachelor’s degree and Paralegal Certificate
  • Demonstrated proficiency in corporate entity formation and management
  • Familiarity with wide-range of applicable laws
  • International entity management experience desired
  • Advanced Microsoft Excel/Word/Powerpoint knowledge
  • Proxy, Annual Meeting, Board minutes and other corporate experience is highly preferred
  • Stock administration experience is desired but not required
  • Excellent reference and history of job stability
  • Strong communication skills – interpersonal, presentation and written
  • Strong administrative skills and keen attention to detail
  • Ability to manage multiple tasks and prioritize
  • Enthusiastic team player, good sense of humor, proactive self-starter and eager learner
  • Candidate must be legally entitled to work and reside in the United States
