About the role

  • Coordinate the development, approval, and rollout of governance policies, procedures, and standards across the Group.
  • Monitor compliance with governance processes and escalate areas of concern to senior leadership.
  • Maintain oversight of governance registers, including policy renewals, delegations of authority, and governance committee actions.
  • Create, maintain, and track a seasonal governance reporting schedule, ensuring timely delivery of packs, minutes, and reporting obligations.
  • Observe segregation of duties and adhere to the Group’s Conflicts of Interest Policy, declaring and managing any actual or potential conflicts in accordance with established procedures.
  • Design, deliver, and maintain training programs that strengthen governance knowledge and application across the Group.
  • Develop governance-specific learning materials (e.g. policy awareness, compliance modules, and role-based governance responsibilities).
  • Lead awareness initiatives and campaigns that embed governance principles into day-to-day practices, fostering a culture of accountability, transparency, and ethical decision-making.
  • Provide secretariat support for governance committees, including agenda setting, minute-taking, and tracking of action items.
  • Coordinate governance reporting requirements (internal and external), ensuring timely and accurate submissions.
  • Work closely with Risk & Compliance teams to align governance processes with regulatory obligations.
  • Support internal audits and external reviews by providing governance documentation and evidence of compliance.
  • Identify opportunities to strengthen governance controls and recommend improvements.

Requirements

  • At least 5 years experience in governance, compliance, or corporate administration.
  • Strong knowledge of corporate governance frameworks, including reporting lines (entity, statutory, functional) and escalation procedures.
  • Ability to recognise, declare, and manage actual or potential conflicts of interest, and maintain independence of judgment.
  • Willingness to undertake training and professional development in governance, risk, and compliance.
  • Ability to apply professional judgement, evaluate alternatives, and document clear rationales for governance decisions.
  • Resilient, adaptable, and proactive in problem-solving.
