About the role

  • Counsel for Verizon's Corporate Governance & Reporting team advising on SEC matters and corporate governance practices. Collaborating with executive management and the Board of Directors in a dynamic environment

Responsibilities

  • Advise senior management and the Board of Directors on corporate governance, SEC reporting, compliance
  • Prepare for meetings of the Verizon Board of Directors and its committees
  • Draft Proxy Statement and manage shareholder proposal process
  • Prepare and review SEC filings
  • Provide advice on subsidiary management and corporate recordkeeping
  • Monitor compliance with governance-related requirements
  • Advise on public company disclosure matters and best practices
  • Monitor emerging trends and regulatory changes

Requirements

  • J.D. or LLM degree and 6+ years of experience
  • Bar membership in good standing in at least one state
  • 5+ years of capital markets or public company advisory experience in-house or at a top tier law firm
  • Strong technical and practical knowledge of federal securities laws, stock exchange listing rules and public company market practices
