About the role

  • Paralegal supporting legal and corporate governance needs at Red Oak, a PE-backed compliance SaaS company. Managing contracts, corporate governance, compliance, and M&A support in a hybrid role.

Responsibilities

  • Draft, review, and manage commercial contracts including NDAs, vendor agreements, SaaS subscription agreements, and partnership agreements. Maintain a contract repository and track key dates and renewal terms.
  • Own and maintain all employee-facing documents including Invention Assignment, AI Acceptable Use Policy, Employee Ownership Program and more. Ensure that the most recent versions are signed and saved.
  • Serve as the primary liaison with external legal counsel. Manage timelines, budgets, and deliverables for outsourced legal work.
  • Support board meeting preparation, maintain corporate records, manage entity filings, and assist with corporate housekeeping across Red Oak's entity structure.
  • Assist with due diligence for acquisitions — organizing data rooms, tracking document requests, and coordinating with outside counsel.
  • Help maintain compliance with corporate policies, regulatory requirements, and PE reporting obligations. Support internal audits and policy updates.
  • Assist with trademark filings, IP portfolio management, and monitoring for potential infringement issues.
  • Build and improve legal processes, templates, and playbooks to increase efficiency as the company scales. Identify opportunities for legal tech tools.
  • Handle a variety of ad hoc legal and administrative tasks as needed — employment matters, insurance renewals, regulatory filings, etc.

Requirements

  • 5+ years of paralegal or corporate legal experience, ideally in a fast-paced tech or PE-backed environment. In-house experience strongly preferred.
  • Ideal candidate will be actively using AI tools, including workflow automation agents to ensure maximum productivity.
  • Paralegal certificate or Bachelor's degree. A law degree is not required, and Bar admission is not required.
  • Strong understanding of corporate governance, contract law, and commercial agreements. Familiarity with M&A processes is a plus.
  • Exceptional attention to detail and ability to manage multiple workstreams simultaneously.
  • Excellent written and verbal communication skills. Able to interface confidently with executives, board members, and outside counsel.
  • Comfortable with contract management tools, document management systems, and legal tech. Experience with CLM platforms is a plus.
  • Ability to triage and prioritize legal requests, escalate appropriately, and exercise sound judgment on when to involve outside counsel.
