About the role

  • Senior Corporate Attorney at Goodspeed Merrill providing strategic legal guidance to business owners. Collaborating on corporate transactions and complex legal matters with a focus on building client relationships.

Responsibilities

  • Serve as a trusted advisor to business clients on a wide range of corporate and transactional matters.
  • Structure, negotiation, and draft agreements related to business formation, governance, and operations.
  • Advise clients on mergers and acquisitions, corporate restructuring, and strategic transactions.
  • Draft and review corporate documents including operating agreements, shareholder agreements, buy-sell agreements, and partnership agreements.
  • Provide legal counsel on corporate compliance, risk management, and governance matters.
  • Work collaboratively with partners and other attorneys on complex transactions and client matters.
  • Develop and maintain strong relationships with existing clients while assisting in business development initiatives.
  • Mentor and support junior attorneys and legal staff when appropriate.

Requirements

  • 8+ years of corporate law experience, preferably in a law firm environment.
  • Juris Doctor (JD) from an accredited law school.
  • Licensed and in good standing with the State Bar of Colorado.
  • Strong experience in business transactions, entity structuring, and contract negotiation.
  • Excellent analytical, drafting, and communication skills.
  • Ability to manage multiple matters while maintaining strong attention to detail.
  • A client-focused mindset with the ability to deliver practical legal solutions.
