About the role
- Associate General Counsel leading legal function at Gigamon. Overseeing legal strategy, corporate governance, and M&A activities with a focus on compliance.
Responsibilities
- Develop and execute corporate legal strategy aligned with Gigamon’s business objectives
- Oversee the delivery of legal services and resources to support corporate goals, strategies, and priorities
- Structure, draft, and negotiate a wide range of commercial agreements
- Lead and mentor the legal team, directing day-to-day activities and professional development
- Support corporate M&A activities, including due diligence and post-transaction integration
- Advise the CEO, CFO, COO, senior executives, and board of directors on legal and corporate governance matters
- Ensure compliance with local, state, federal, and international laws and regulations, including data privacy and GDPR
- Manage legal compliance functions and implement standards of business and ethical conduct
- Oversee interactions with governmental bodies, regulators, and external stakeholders
- Manage the legal department budget, review and approve outside counsel costs, and determine legal reserves
Requirements
- Juris Doctor (JD) degree and active license to practice law in applicable U.S. state
- Private equity experience and background working with hardware/software and SaaS companies
- Demonstrated expertise in corporate law, including Delaware corporate law, commercial contracts, M&A, and regulatory compliance
- Experience advising executive leadership and boards on legal, governance, and risk management matters
- In-depth knowledge of antitrust, employment law, contract law, intellectual property, data privacy, and data security
