Responsibilities
Completes all levels of corporate paraprofessional work assignments and legal duties under the supervision of lawyers
Prepares corporate documentation relating to incorporations, organizations, amendments, continuances, amalgamations, extra-provincial registrations, dissolutions, share and asset purchases, corporate reorganizations, etc.
Manages and maintains updated corporate database and corporate records
Works with lawyers in all Dentons Canada offices to attend to OBCA and CBCA transactions, filings, and registration equivalents
Reviews and analyzes corporate minute book records and recommends the appropriate actions to update records and rectify deficiencies, including drafting the required documentation
Uses relevant information and individual judgment to determine whether events or processes comply with laws, regulations, or standards
Handles general corporate work, including government filings, and responds to inquiries from within and outside the firm
Provides mentorship and training to more junior team members
Other duties as assigned
Requirements
10+ years of experience as a corporate paraprofessional in a corporate services department of a law firm
In-depth knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law
Ability to manage files from start to finish
Strong interpersonal skills with the ability to deal with all stakeholders professionally
Ability to multitask and meet multiple deadlines under pressure
Demonstrates initiative and able to work with minimal supervision
Excellent organizational skills, accuracy, and attention to detail
Strong written and verbal communication skills
Flexible team player
Institute of Law Clerks of Ontario Certification and membership an asset
Proficiency with Athennian, Ecore, and DocuSign is an asset
