About the role

  • Tax Manager managing compliance and provision work for Valsoft, a software company. Collaborating cross-functionally on tax matters in Canadian and U.S. jurisdictions.

Responsibilities

  • Lead the preparation and review of quarterly (when necessary) and annual tax provisions for the portfolio.
  • Prepare supporting schedules for current and deferred tax calculations, including effective tax rate reconciliations.
  • Assess the impact of tax law changes, including U.S. and international tax reforms, on the financial statements.
  • Support tax provision calculations related to international tax structures, including GILTI, BEAT, FDII, Subpart F, foreign tax credits, and Pillar Two considerations as they arise.
  • Collaborate with the corporate tax team and portfolio finance teams to ensure timely and accurate tax provisions and disclosures.
  • Help automate and implement a tax provision software solution to improve efficiency and accuracy.
  • Maintain organized documentation of working papers related to provisions, assumptions, and key judgments to support audits and compliance reviews.
  • Manage the preparation and review of federal, state, and local tax returns prepared by external providers, ensuring returns are filed timely and accurately.
  • Work with the head of finance, the M&A team, and external advisors on various tax elections and corporate research projects.
  • Manage tax compliance processes, including tax filings, estimated tax payments, and extensions.
  • Maintain tax and audit files and ensure compliance with all applicable laws and regulations.
  • Collaborate with external tax advisors and auditors to ensure accurate tax filings and documentation.
  • Manage documentation for intercompany arrangements and ensure transfer pricing compliance in accordance with CRA, IRS and OECD guidelines.
  • Assist in compiling financial data for transfer pricing reports and internal benchmarks.
  • Help coordinate with external advisors and internal stakeholders to assess new intercompany transactions.
  • Support transfer pricing audits and help develop dispute resolution strategies as needed.
  • Monitor developments in international tax regulations, including OECD BEPS Pillars One and Two, and assess their impact on the portfolio's transfer pricing strategy.
  • Assist with tax due diligence for portfolio acquisitions, including identifying tax exposures, reviewing historical tax returns, and analyzing tax attributes.
  • Support integration of newly acquired entities by coordinating with local finance teams to gather tax information, confirm tax registrations, and align compliance processes with group policies.
  • Provide strategic tax planning recommendations for international expansion and entity restructurings.
  • Work closely with the Vice President of Tax and the legal team to model tax implications of proposed transactions, assist in documenting structuring steps, and coordinate external advisors' input when necessary.
  • Maintain transaction files, structuring memos, and supporting documentation for internal reporting and audit readiness.
  • Monitor and conduct research and analyses on tax issues, including new tax legislation and regulatory changes, and summarize implications for the portfolio.
  • Provide tax guidance on operational matters and respond to requests from portfolio finance teams.
  • Provide guidance on Canadian and U.S. tax implications of business transactions and restructurings.
  • Assist with tax modeling and scenario planning for potential legislative changes and corporate tax strategies as needed.
  • Support the Vice President of Tax, legal and finance teams in evaluating and implementing tax-efficient structures for investments and repatriation strategies specific to the portfolio and its cross-border operations.
  • Support operating companies as needed on defense strategies during tax audits and responses to inquiries from the IRS and foreign tax authorities.

Requirements

  • Professional designation: CPA/CA
  • More than 4 years of post-designation tax experience in public accounting or corporate tax environments, with exposure to Canadian and U.S. tax issues; international tax experience is an asset.
  • Strong technical knowledge of Canadian and U.S. corporate taxation, tax accounting, transfer pricing, and international tax rules.
  • Experience managing tax compliance and tax provision processes.
  • Familiarity with M&A tax due diligence, tax structuring, and cross-border tax planning.
  • Strong research, analytical, and organizational skills with high attention to detail.
  • Excellent communication skills and ability to collaborate with non-tax stakeholders and external advisors.
  • Ability to work independently and manage multiple priorities in a decentralized environment.
