About the role

  • Business Governance Lead providing strategic governance advice and support for corporate objectives in institutional banking. Overseeing governance framework and fostering relationships with key stakeholders.

Responsibilities

  • Provide strategic leadership, direction and professional advice on corporate governance and relevant internal and external policy matters for executive level committees
  • Make sure that appropriate processes are in place to track, analyse and proactively advise on external legal, regulatory and governance developments
  • Ensure that strategic decisions are appropriately cascaded and monitored to completion through regular feedback loops
  • Support the business in the delivery of its strategic objectives by supporting core corporate governance and decision making forums and providing coordinated and consistent professional support and advice
  • Oversee the function’s responses and providing input to consultative documents and proactively influencing external developments in order to manage risks and costs for the bank
  • Represent the function on external bodies and governance groups, building close and effective working relationships with key C-suite stakeholders and providing input and challenge
  • Oversee and manage the bank’s subsidiary governance framework, providing advice and support to subsidiary Boards and company secretaries on corporate governance and subsidiary governance matters
  • Provide confidential advice and support to senior colleagues and board counsel across a broad range of strategic, Board, ExCo and corporate governance matters
  • Manage costs proactively and identify savings where relevant

Requirements

  • Considerable experience as a lawyer or chartered secretary
  • Detailed understanding of listed companies, banking or financial services
  • Detailed knowledge of company secretarial, legal and regulatory environment pertaining to large, complex financial service organisations
  • Ability to interact and communicate professionally with people at all levels across the organisation, including Non-Executive Directors, subsidiary boards and senior executives
  • Ability to manage highly confidential information in a discreet and professional manner
  • Proactive approach to work, with a focus on first class delivery
  • Excellent written and verbal communication, presentation and organisational skills
  • Excellent attention to detail with ability to maintain high quality standards
  • Ability to manage multiple tasks, anticipate problems and react quickly to changing priorities
