About the role

  • Assistant General Counsel supporting IP matters and leading IP processes at Catalent Pharma Solutions. Responsible for legal advising on commercial agreements, licensing, and global IP portfolio management.

Responsibilities

  • Advise on and support the negotiation and drafting of IP‑related provisions in a wide range of commercial agreements, including development, manufacturing, supply, collaboration, and services agreements.
  • Lead inbound and outbound IP licensing matters, including advising on deal structure and risk, negotiating license terms, and developing and implementing standardized in‑licensing and out‑licensing frameworks and templates aligned with business strategy.
  • Oversee the preparation, filing, and prosecution of patent applications, manage global patent portfolios, and coordinate closely with external patent counsel to ensure strategic alignment and cost‑effective portfolio management.
  • Manage trademark clearance, registration, maintenance, and enforcement activities, including oversight of global trademark portfolios and coordination with external trademark counsel.
  • Provide IP risk assessment and strategic advice, including (directly and in collaboration with external counsel) on freedom‑to‑operate, validity, infringement, enforceability, and related IP matters.
  • Provide IP due diligence, risk assessment, and transactional support for site acquisitions, divestitures, asset sales, and other strategic transactions, working closely with corporate, M&A, and business teams.
  • Review and advise on external‑facing materials, including commercial communications and scientific publications, to ensure alignment with IP strategy and protection of Catalent’s intellectual property.
  • Review, develop, and implement IP policies, guidelines, and procedures, and design and deliver IP trainings for R&D, commercial, and legal stakeholders to promote awareness and compliance.

Requirements

  • Juris Doctor (JD) degree from an accredited law school, required
  • Registered to practice before the USPTO
  • Minimum 6+ years of relevant IP legal experience, including a combination of law firm and in‑house experience, preferred
  • Strong background in life sciences, pharmaceuticals, biotechnology, or CDMO environments, required
  • Demonstrated experience with patent and trademark portfolio management, IP licensing, and commercial contracting
