About the role

• Legal professional analyzing and drafting corporate and estate contracts at BLB Auditores. Requires expertise in civil law, family law, and corporate regulations.

Responsibilities

• Analyze and draft articles of incorporation, amendments to articles/operating agreements and other corporate acts, focusing on the best technical solution, and assist with the respective registrations;
• Analyze and draft other corporate documents, such as minutes of partners' or shareholders' meetings, and partners' and/or shareholders' agreements;
• Research and respond to various inquiries on business and corporate law, as well as family and succession law;
• Assist in mergers and acquisitions transactions and in legal audit processes (due diligence);
• Perform other tasks to support the attorneys in the department on projects involving corporate matters, succession and estate planning, as well as Corporate and Family Governance.

Requirements

• Law degree and active registration with the Brazilian Bar Association (OAB);
• Knowledge of the legislation, in particular the Civil Code with respect to rules applicable to family and succession law, as well as corporate law and the Brazilian Corporations Law (Lei das S/A);
• General understanding of Tax Law;
• At least four years of prior experience in the Corporate area.
